1.) I struggle to think of a system where mata, kagawa, RVP, and rooney all fit in doing what they do best in the positions they are most dangerous. Take rooney out the equation and its straight forward. I rate rooney and don't dislike him. But it just doesn't ad up to put 3 quality players each better in there specific roles out of position to try and fit rooney in. And its for that reason alone I would move him on if there was a team that wanted him.
And if it goes the way its looking with van gaal coming in, I don't think he'd be bothered about the deal rooney just signed or how close he is to breaking the goal scoring record. He'd have him out if he sees it as the best for the team.

2.) I completely agree with
Eds theory. I have mentioned something similar in the past.

That way Kagawa, Rooney, and Mata would be able to be deployed in the same team all interchanging into space with new signing ie. Reus/Griezmann or Januzaj. Leaving Rvp or Hernandez up top.

Then we would need a solid tackling CDM that will be committed to sitting in front of the defence protecting them and to break up counter attacks. His passing range need not be too great as he receives the ball from defence and passes on to one of the attacking 5 to build up a play.

We will have plenty of fluidity, creativity and some pace to be able to play attractive attacking football and scoring plenty goals.
